• SensEarly may, at its sole discretion, suspend or terminate your access to the Services without notice in cases of suspected violation of these Terms.

6. USE OF SERVICES

You acknowledge and agree that:

• SensEarly grants you a limited, non-exclusive, non-transferable license to use the Services.
• Unauthorized use or alteration of the Services is strictly prohibited and may result in civil and/or criminal penalties.

7. PAYMENT TERMS

• Invoices: Payment for Services must be made in accordance with the agreed terms and any failure to pay may result in service suspension.
• Late Fees: Balances remaining unpaid past the due date are subject to a late fee of 1.5% per month.

8. DATA AND PRIVACY

• Data Handling: All data submitted by you must be de-identified before submission to SensEarly. You are responsible for ensuring compliance with applicable privacy laws.
• Confidentiality: You shall maintain the confidentiality of all proprietary information obtained through the use of our Services.

9. INTELLECTUAL PROPERTY

All intellectual property associated with the Services is owned by SensEarly. No ownership rights are transferred to you. You may not reverse-engineer or disassemble any of our proprietary software or devices.

10. LIMITATION OF LIABILITY

In no event shall SensEarly be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or use.

11. INDEMNIFICATION

You agree to indemnify and hold SensEarly harmless from any claims, losses, liabilities, damages, costs, or expenses (including attorneys’ fees) arising from your breach of these Terms or your misuse of the Services.

12. WARRANTY DISCLAIMER

The Services are provided on an “as-is” and “as-available” basis. SensEarly disclaims all warranties of any kind, whether express or implied.

13. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws applicable to SensEarly’s place of operation.

14. DISPUTE RESOLUTION

Any disputes arising from these Terms shall be resolved through mediation first, and if necessary, through arbitration under the relevant regional laws.

15. MISCELLANEOUS

• Entire Agreement: These Terms constitute the entire agreement between you and SensEarly.
• Severability: If any provision is deemed invalid, the remaining provisions shall continue in full force and effect.
